Citizens Communications Company Announces Pricing of Senior Unsecured Notes Offering

STAMFORD, Conn. --(Business Wire)-- Nov. 8, 2004 -- Citizens Communications Company (NYSE:CZN) (the "Company") announced today that it has priced its offering of $700 million aggregate principal amount of 6 1/4% senior unsecured notes due 2013 (the "Notes"). The Company increased the size of the offering to $700 million from the previously announced $400 million amount.



The Company intends to use the proceeds of the sale of the Notes to retire debt maturing in 2006.

This offering is made pursuant to the Company's shelf registration statement, which has been declared effective by the Securities and Exchange Commission.


J.P. Morgan Securities Inc., Morgan Stanley & Co. Incorporated, and Banc of America Securities LLC are serving as lead underwriters for the offering.
